Merchant Fees and Payment Terms


Please review the Fees on the associated Fee Schedule and Payment Terms listed herein. All listing fees are in U.S. dollars unless stated otherwise. Marketing fees for any transaction are controlled by the terms posted on the date of the transaction. Merchants will be able to access the terms to which they have agreed, including a history of prior terms over time from within the Merchant Center. All fees, including but not limited to membership fees, are payable upon demand by a Visa, MasterCard, American Express or Discover credit card. By listing an item for sale on the Site, you authorize Our Community Stores to debit your ACH bank account or charge your credit card for amounts due.

Sales, Transactions, and Payments to Merchants

Our Community Stores Credit Card Transaction Services facilitate the purchase of Merchant items listed on the Site. A Customer's authorized credit card payment is credited to a registered Merchant's account summary, and funds are periodically transferred to the Merchant's designated bank account. The Customer may authorize a transaction with any major credit card accepted by Our Community Stores. Our Community Stores, by providing credit card transaction services, helps facilitate transactions and is not the purchaser of the Merchant's products. Merchant will resolve any dispute with Customer directly or with the assistance of communication channels available in the Merchant section of the Site.

Payments

Payments from Our Community Stores to Merchants can be credited only to bank accounts in the United States. Our Community Stores will initiate a credit to Merchant account on a rolling 15-day cycle based on the original date of Merchant's registration with Our Community Stores or on the next business day if the scheduled Payment Date falls on a Saturday, Sunday or Bank Holiday. Each scheduled payment shall consist of the total amount of sales transactions and shipping charges from Customers' authorized credit card transactions for Merchant, less any refunds and Our Community Stores marketing fees. Fees are posted on our Fees Page and are incorporated herein by this reference.

Payments to the Merchant's account will generally be credited within five business days of the date we initiate the transfer. On occasion, Merchant may receive a paper check instead of an electronic credit, if, for instance, Merchant's bank will not accept an electronic credit to Merchant's account.

Merchant must provide a full refund to any Customer who remits payment if for any reason Merchant cannot fulfill the terms of the sale or advertised shipping date. Merchant must provide the refund promptly, but in no case later than thirty (30) days following the close of the sale. Merchant shall issue refunds using the Refund link on the Merchant's Orders page in the Merchant Center.

As a security measure, we may, but are not required to, impose transaction limits on some or all Customers and Merchants relating to the value of any transaction or disbursement, the cumulative value of all transactions or disbursements during a period of time, or the number of transactions per day or other period of time. We will not be liable to Merchant: (i) if we do not proceed with a transaction or disbursement that would exceed any limit established by us for a security reason, or (ii) if we permit a Customer to withdraw from a transaction because the Payment Service is unavailable following the commencement of a transaction.

We reserve the right to suspend Merchant's account if we reasonably conclude based on information available to us that Merchant's actions and/or performance in connection with the Services results in a significant number of Customer disputes, chargebacks or other claims. We reserve the right to delay transfer of payment to a Merchant's bank account (or sending paper checks) for the shorter of either 30 days following the initial date of suspension or completion of an investigation into Merchant's actions and/or performance in connection with Customer Services issues.

We reserve the right to delay initiating the transfer of payments credits to a Merchant's bank account (or sending paper checks) pending an investigation if we, in our sole discretion, believe Customer or Merchant may have violated the Customer or Merchant Agreement. Notwithstanding any other provision of this Merchant Agreement, if we determine, in our sole discretion, that Merchant has violated this Agreement, we may refuse to deliver Payment to Merchant and may instead maintain the amount of the payment in a trust account or may return the amount of the payment to Customer. We will not be liable to Merchant if we act in accordance with the provisions of this Section.

Notice

All notices will be sent by e-mail or will be posted on the Our Community Stores site. We will send notices to Merchant at the e-mail address maintained in our records for Merchant. Merchant will monitor his or her e-mail messages frequently to ensure awareness of any notices sent by us. Merchant will send notices to us at the following address: Our Community Stores, 20 Grove St., Third Floor, Peterborough, New Hampshire 03458. E-mail notices are deemed written notices for all purposes for which written notices may be required. E-mail notices are deemed received the Business Day after transmission if properly addressed to the intended recipient. If not sent by e-mail, notice may be provided in writing and mailed U.S. Mail, postage paid, First Class mail properly addressed or personally delivered by express courier such as Federal Express. First Class mail is properly addressed if sent by us to the address maintained in our records for Merchant. First Class mail is properly addressed if sent by Merchant to the current address published by us on our Web site. First Class mail is deemed received three Business Days after it is deposited in the U.S. Mail. A notice sent by express courier is deemed received when personally delivered to the intended recipient or to a person with apparent authority to receive such delivery on behalf of the intended recipient.

Shipping Rates and Charges

Standard shipping rates for orders are shown on our Standard Shipping and Handling page. Charges for each order are calculated on total dollar amount of order, minus items specified by a Merchant as free shipping, and prior to adding any special shipping additions. For Multiple-Merchant orders, total shipping charge will be calculated on total amount of order, minus items specified by Merchants as free shipping, and prior to adding any special shipping additions. Shipping charge will be allocated to Merchants based on total dollar amount of each Merchant's portion of the order minus items specified as Free Shipping, divided by total dollar amount of the order minus items specified as Free Shipping. Special shipping additions are credited to the Merchant who charged them.

Subscriptions & Fees

Depending on membership option chosen by Merchant, a monthly membership fee or a one-time membership fee will be billed to Merchant's credit card. Marketing Fees are posted on our Membership Options and Fees page and are incorporated herein by this reference. We may, in our sole discretion, waive, reduce, or reverse charges or fees for a specific transaction. Our Community Stores may earn interest or other compensation from the balances in our bank accounts that result from the timing difference between our being paid by customers and our bank account being debited to make payments to Merchants. We reserve the right to seek reimbursement from Merchant if we: (a) decide, in our sole discretion, to reimburse customers under the terms of Our Community Stores' Refund Policy; (b) provide a refund to a customer if Merchant cannot promptly deliver the goods; (c) discover erroneous or duplicate transactions; or (d) receive a chargeback from Customer's credit card issuer for the amount of Customer's purchase from Merchant. We may obtain such reimbursement by deducting from future payments owed to Merchant, reversing any credits to Merchant's bank account, charging Merchant's credit card, or seeking such reimbursement from Merchant by any other lawful means.
